  • What is a non-profit organization?
    A non-profit organization (NPO) is a club, society, or association that's organized and operated solely for: social welfare or civic improvement or pleasure or recreation or any other purpose except profit.
  • Is it same as Registered Charity?
    Registered charities and non-profit organizations both operate on a non-profit basis, however they are not the same. If you want a registered charity, this will be registered same way as of non-profit and an additional application for charity status to be added which will be shown to you in next steps.
  • How fast I can get documents?
    It depends on your selection on service queue in next page. If you choose urgent queue, it can be registered in approximate 10 business days.
  • What happens after I place order?
    As a customer, your job is pretty much to fill out this form, pay and submit. Once we receive it, our specialists will review and if anything missing, you will be contacted. Then, our lawyer prepares article & by laws. We obtain name approval for you and register with government and send you final documents in email first and then by post.
  • Can I do without a lawyer?
    To register a non-profit organization, the article of corporation has to be prepared according to non-profit corporation act, which is the job of a corporate lawyer.   • How many people are required?
    A non-profit legislation requires at least 3 directors. Only physical persons can be directors. Individual below 18 years old or business entity or any non-human being such as corporation or another organization, can't be a director. There is no Canadian residency requirement and therefore, all directors can be Canadian or foreign nationals.

  • Is there any name rules?
    A non-profit organization's name traditionally ends with certain phrases such as foundation, association, society, institute etc.
  • What should I list in activities?
    You may briefly write two or three major activities of this organization.
  • How name approval works?
    Since we are agent of Industry Canada, we have access to the name database of federal and provincial government. Before we submit a name for approval, we do a pre-check in our system. If the pre-check shows conflict with any existing entity, we will ask for alternative name (up to 3 names) at free of cost.
  • How NUANS Report works?
    To get an approval for non-profit organization's name, we need to submit the NUANS report to the government. If you already have obtained, you can upload here. Otherwise, we will obtain for you.

  • What address is this?
    This is the complete address of the location where the organization is located. It must be a physical street address and can't be a PO Box. Please note, all government documents will be mailed in this address.
  • Can I use home address for now?
    Yes, you definitely can. Later on, when you get a rented space, you can change your address on our website.
  • Do you provide address service?
    If you do not have a local address, we provide registered address and mail scanning service with additional cost. You may proceed with this order and address service can be added separately.

  • What does director mean?
    In a simple language, the director is the overall head of the organization. A non-profit organization must have at least 3 directors. There is no Canadian residency requirement for these directors, therefore can be Canadian resident or foreigners. An individual who is less than 18 years old, can't be a director.
  • Can I add a foreigner as a director?
    Yes, foreigners can be added as directors. There is no Canadian residency requirement for these directors, therefore, can be Canadian resident or foreigners.
  • Can I add or remove director in future?
    yes, of course. On a later time, you can add or remove directors. This could be done on our website as well.

  • Why Minute Book Matters?

  • A Minute book is a corporate legal document prepared by a corporate lawyer. As per corporation act, a Minute book is MANDATORY. Minute book consists of by laws, organization's structure & other legal sections. It's REQUIRED to open bank account. Without it, a non-profit organization is not complete. A Minute book must be presented when corporation is audited. The next page will skip if you do not choose Minute Book. We left here as optional because many law firms incorporate with us who prepare their own minutebook.
  • FAQs

  • Is minutebook required?
    Yes, it's mandatory as per corporation act. The owners, members and organization structure are defined in minutebook. If you do not select minutebook, the next step "Members & Organization's Officers" section will skip assuming you will do minutebook with another firm.
  • Any advantage of doing in package?
    During the registration of the corporation, the expenses are called 'business development expense' which is tax creditable. Expenses after incorporation, is considered as 'operating expense' which are not tax creditable. Moreover, doing it separately later, is a manual process which cost more and takes longer time.
  • By laws, Members and Officers (Skipped as no minutebook selected)

  • Organization's by laws, members, officers and their designations (CEO, President etc.) are part of the Minute book. These sections are skipped as no minute book is selected. Please click Next to proceed or Previous to add minute book.

  • Normally all the directors are members. However, if you want to add other individuals as member, it's possible. Members are similar as of sharehodlers for a corporation, elect the board of directors.

  • Who can be member?
    Typically, all the directors are the members. You may add maximum of 10 members. Only physical persons (not a organization nor a business entity) can be members.

  • A foreign national can a be member?

    Normally, the primary director becomes the president of the organization.
  • Who should be the secretary?
    Normally, the second director or the third director becomes the secretary of the organization.

    Yes, the board of directors can add or remove officers in future.

  • Any benefits of choosing in package?

  • Yes, two major benefits. 1. Tax claimable: cost that occurs during the registration and set up, is called 'Business Development Expenses', is tax claimable. Costs that occurs after business already registered, is called 'operational cost' and not tax claimable. These costs will occur at any way, since these are mandatory filing; therefore, it's wise to include in package. 2. Completing these filing together with incorporation is the default process; hence, it's cheaper in package. To do these services later, manual forms to be completed and follow the lengthy process; hence, costs more money and takes longer processing time.

  • Why need business number?
    CRA business number is the unique ID of your organization with Canada Revenue Agency. Every Canadian entity must have this number. This is needed to report organization's income and tax receipt.
  • Why need HST account?
    Not only for collecting HST but also when you buy supplies and necessary items for your organization, you pay HST. This amount could be claimed if you have HST set up with CRA. Almost all organizations take this advantage.
  • Why need payroll account?
    If your organization have or plan to have in future any paid staff or employee (full time or part time), then your need a payroll account set up. Please note, this is not payroll service, but the initial account set up with CRA.
  • What is WSIB?
    It's worker's compensation board. Various provinces name it differently; i.e. WSIB in Ontario, WCB in Alberta and WSB in BC. This registration is required if your organization has any paid staff or employee now or in future (part time or full time). We register it and give you the account number and hook you with WSIB authority. Please note, this does not cost any monthly premium, rather WSIB authority will advise you on your eligibility of free program or fees.
  • What is domain name?
    We are an agent of global domain registration. After your organization name gets approved, we can instantly reserve a domain in your company name (example: www.organizationname.com).
  • Registered Charity Status

  • To get Charitable status, the organization must apply to the CRA. This application is critical and must apply with certain procedures and corporation act, to have higher chances of getting approved. Once approved by CRA, you will receive a charitable registration number from CRA and can issue official donation receipts to those who donates to your organization for income tax purposes.

  • What is Registered Charity?
    Registered charities are charitable organizations, public foundations, or private foundations that are created and resident in Canada. They must use their resources for charitable activities and have charitable purposes that fall into either the relief of poverty or the advancement of education or the advancement of religion or other purposes that benefit the community.
  • How long it takes to get charity status?
    First step is to register as a non-profit organization. Once organization is registered, it may take around 1 year to get registered Charity Status
  • Notes on the relief of poverty
    Organizations established for the relief of poverty include orphanages, food banks, soup kitchens, as well as enterprises that supply low-cost rental housing, clothing, furniture, and appliances to the poor.
  • Notes on the advancement of education
    It has to be a purpose or activity as advancing education in the charitable sense if it involves formal training of the mind or formal instruction, or if it prepares a person for a career, or if it improves a useful branch of human knowledge. Example: establishing and operating schools, colleges, universities, and other similar institutions; providing scholarships, bursaries, and prizes for scholastic achievement etc.

  • Do I need corporate seal?
    This is official embossed seal of your organization. It's used on official documentations. It's also used as a protection against fraudulent actives or fake documents. Pretty much all non-profit organization have this seal. Upon order receipt, we give to an approved agency to prepare it and then we will send to you by post.
  • What does 1st year support include?
    Most new non-profit org. do not have own lawyer and accountant. When you receive legal notices from CRA, federal govt. or provincial govt. all you need to do it, take a picture of it and send to us. Our lawyer will explain and advise you on it. Same goes for accounting. Because a non-profit org. is eligible to claim many benefits from CRA, if you don't have own accountant, our chartered accountant is here to consult.
